SPEED Trivia Challenge

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING. THE GAME, AND ANY WEBSITE PAGES AND ADVERTISEMENT RELATING THERETO, IS INTENDED FOR PARTICIPATION AND VIEWING ONLY WITHIN THE FIFTY (50) UNITED STATES OF AMERICA (AND D.C.) AND SHALL BE CONSTRUED ACCORDING TO, AND GOVERNED EXCLUSIVELY BY, UNITED STATES LAW.

1. ELIGIBILITY: The "SPEED Trivia Challenge" Game (the "Game") is open only to legal residents of the United States and District of Columbia who are eighteen (18) years of age or older at the time of entry. Employees, officers and directors of Speed Channel, Inc. ("Sponsor"), and their respective parents, subsidiaries and affiliated companies, advertising, promotion, or production agencies (and their respective IRS dependents, immediate family members [children, spouse, parents, siblings] and individuals residing in their same household, whether or not related) are not eligible to participate. By participating, entrants agree to these Official Rules and the decisions of Sponsor and/or judges, which are final and binding in all matters related to this Game. The Game will be governed by all applicable federal, state, and local laws.

2. GAME PERIOD: The Game begins on May 2, 2009 at 10:00 p.m. Eastern Time ("ET") and ends on March 3, 2009 at 1:30 a.m. ET (the "Game Period"). Watch the live telecast (the"Telecast") of the "AMA Supercross Special" (check local listings for exact times of airing in your location) to play. Details on how to enter are more fully set forth below. All entries must be received electronically by the end of the Game Period to be eligible. The Sponsor's database computer is the official time-keeping device for this Game.

3. HOW TO ENTER: No purchase necessary to enter or win. A cell phone with text message capability or a computer with Internet access is required to participate in the Game. During the Telecast, an announcer will ask one (1) trivia question (the "Question") to which a list of multiple choice answers will be provided. There are two (2) ways to submit an answer and to be automatically entered: (1) By Mobile Phone Text Messaging: Send a text message to SPEED3 (773333) with the numbers 1, 2, 3 or 4, your answer to the Trivia Question during the Game Period. Please be aware that your standard mobile phone text messaging fees will apply and will be charged to your account. (2) For Free Alternate Means of Entry Via the Internet: Visit www.speedtv.com Keyword: SX and follow the online instructions to submit your answer. Your answer to the trivia question will not affect your chances of winning.

Sponsor and its agents are not responsible for lost, late, damaged, misdirected, illegible, or incomplete entries. Incomplete entries are ineligible. Unclaimed prizes will remain unawarded. Forged entries, altered entries or entries obtained other than as set out in these rules will be void and ineligible. Entry must be made by the entrant, only in the manners as set forth herein. Entries made by any other individual or any entity and/or originating at any other Internet website or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared void and as such deemed ineligible for this Game.

Sponsor may prohibit an entrant from participating in the Game if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Game by cheating, hacking, deception, or other unfair practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor's representatives, or if entrant has or had attempted to submit malicious code, .exe files, or any file that contains malicious code.

4. RESTRICTIONS: Winners must be the age of majority or older in his/her jurisdiction at the time of winning. All potential winners are subject to verification. All information and materials submitted to Sponsor become the sole property of Sponsor and will not be returned. No correspondence will be acknowledged or entered into. If any potential winner declines a prize, is found to be ineligible, or fails to comply with these Official Rules, such potential winner will be disqualified and will forfeit the prize he or she otherwise might have received. Upon verification and compliance with these Official Rules, your prize will be coordinated by a Representative and you will receive further notification with details on how to claim your prize. Prizes cannot be assigned, transferred, redeemed for cash, or substituted except by Sponsor who may, at its sole discretion, substitute any prize for another prize of comparable value if the advertised prize becomes unavailable for any reason. All submissions become the sole property of the Sponsor.

5. PRIZES/ODDS: One Grand Prize (the"Grand Prize") is available. The Grand Prize Winner (the "Winner") will receive a 32GB Apple iPod Touch. The total approximate retail value ("ARV") of the Grand Prize is Three Hundred Ninety Nine Dollars ($399.00).

6. DRAWINGS AND WINNER NOTIFICATION: The winner of the Game drawing will be randomly selected from all eligible entries received throughout the Game Period. The random drawing will be conducted by Sponsor or its designee, using randomization methods selected in its sole discretion. The potential winner will be notified by telephone and/or mail and/or email using the contact information given at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, the potential winner does not respond within five (5) days of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. Sponsor will successively attempt to contact up to two (2) potential winners of the prize in accordance with such procedure, and if there is still no confirmed winner of the prize in question after such attempts have been made, the prize may go unawarded.

Sponsor reserves the right, without prior notice and at any time, to terminate the Game, in whole or in part, or modify, suspend or extend the Game in any way, or deem the affected Game materials void and invalid if it determines, in its sole discretion, that the Game materials in question reflect printing or other errors or if it determines, in its sole discretion that the Game is impaired or corrupted or that fraud or technical problems, failures or malfunctions (including, without limitation, computer viruses, glitches or printing or production errors) have destroyed or severely undermined the proper play, integrity, and/or feasibility of the Game. Only the type and quantity of the prize described in these Official Rules will be awarded. If, due to printing or production errors or for any reason, more potential winners come forward seeking to claim prizes in excess of the number of the type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be each entrant's sole and exclusive remedy under such circumstances. Odds of winning depend on the number of eligible entries received.

Depiction of the prize in any advertising, promotional materials, or on the Game Website may not reflect the actual prize delivered to the Winner. Sponsor or its agents shall not be responsible for delays in delivery of the prize once it has been shipped by Sponsor or its agent. Winner shall bear all risk of loss or damage to the prize after it has been delivered to Winner. Prize Winner cannot assign or transfer the prize to another person or entity and are not entitled to cash in place of the Prize. The prize is subject to availability and Sponsor in its sole discretion may substitute cash or a different prize of approximately equivalent or greater retail value except where prohibited by law. If lost, the prize awarded will not be replaced. No transfer, substitution, or cash equivalent for prizes allowed except at Sponsor's sole discretion due to prize unavailability and then only for a prize of equal or greater value.

6. CONDITIONS OF PARTICIPATION: Participants agree: (a) that the Sponsor and their respective parent, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by participants against any liability for, any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Game or any Game-related activity, or for any typographical or other error in the printing, offering or announcement of any prize; and (b) except where legally prohibited, Winner grants (and agrees to confirm such grant in writing) permission for Sponsor and those acting with or under its authority to use his/her name, photograph, voice and/or likeness, for advertising, trade and/or publicity purposes without additional notice or compensation in all media now known or hereafter discovered (including, without limitation, on the Internet and/or World Wide Web), worldwide, in perpetuity, without notice, review or approval. Grand Prize Winner will be required to complete, sign, and return an Affidavit of Eligibility, a Liability Release and, where lawful, a Publicity Release within five (5) days of receipt of notification. If documents are not returned on a timely basis, or if any prize notification or prize is returned as non-deliverable, or if a Winner is found to be ineligible or not in compliance with these Official Rules, such prize may be forfeited and may be offered to an alternate Winner. Taxes, including income taxes, are solely the responsibility of the Winner.

7. LIABILITY LIMITATIONS: Sponsor, its agencies, web masters/suppliers, contractors and vendors are not responsible for lost, late, stolen, misdirected, or non-delivered Plays, or e-mails, or for lost, interrupted or unavailable satellite, network, server, Internet Service Provider ("ISP"), website or other connections availability, accessibility or traffic congestion, miscommunications, or failed computer, network, telephone, satellite, cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, or the incorrect or inaccurate capture of entry or other information or the failure to capture or loss of any such information. Sponsor, its agencies, web masters/suppliers, vendors and contractors are not responsible for any incorrect or inaccurate information, whether caused by Website users, or by any equipment or programming associated with or utilized in this Game and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of Website. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with entry process or operation of the Game or the Website, to be acting in violation of the terms of the Website or to be acting in a non-sportslike or disruptive manner, or with intent to threaten, abuse or harass any other person. Sponsor, its agencies, and web masters/suppliers are not responsible for injury or damage to participants' or any other person's computer related to or resulting from participating in this Game or downloading or copying materials from or use of Website. If, for any reason, the Game is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in the sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Game, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Game and determine Winners from entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor.

8.
